Welcome to the North American Energy Cooperation Effort (NAECE). By accessing or using our website, programs, services, or resources (collectively, “Services”), you agree to abide by the following Terms and Conditions. Please read them carefully.

1. Acceptance of Terms

By accessing or using our Services, you agree to these Terms and Conditions, as well as any applicable policies referenced herein (e.g., Privacy Policy). If you do not agree, you must discontinue use of our Services immediately.

2. Use of Services

You may use our Services for lawful purposes and in accordance with these Terms. You agree not to:

  • Misuse our resources or interfere with the functionality of our Services.
  • Use our Services for any unauthorized, fraudulent, or harmful purposes.
  • Breach applicable laws or regulations while using our Services.

NAECE reserves the right to restrict access to our Services if we suspect misuse or violations of these Terms.

3. Jurisdiction and Legal Status

NAECE is currently a registered charity in Canada and complies with Canadian laws and regulations.

NAECE is headquartered in Virginia, USA, and will apply for U.S. charity status in February 2025. Upon approval, NAECE will also adhere to U.S. laws governing charitable organizations.

Users accessing our Services in the U.S. should note that NAECE is not yet recognized as a tax-exempt entity under U.S. law.

4. Program Eligibility and Participation

Eligibility and participation in NAECE’s programs, including but not limited to grants, rebates, and other funding opportunities, are subject to specific program requirements and criteria, as determined solely by NAECE.

4.1. Program Terms

Terms and conditions for each program are outlined separately and may be subject to updates or revisions at any time, without prior notice.

Participation in a program constitutes acceptance of the specific terms associated with that program.

4.2. Payouts and Awards

All payouts, rebates, grants, or awards are determined solely by NAECE and are not guaranteed.

NAECE reserves the right to modify or discontinue programs, payouts, or awards at its discretion and without liability.

5. Disclaimer of Liability

NAECE provides its Services “as is” and “as available” without any warranties, express or implied, including but not limited to:

  • Accuracy, completeness, or reliability of information provided.
  • Uninterrupted access to the Services.

To the fullest extent permitted by law, NAECE shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, our Services.

6. Indemnification

You agree to indemnify and hold harmless NAECE, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, or expenses (including legal fees) arising from:

  • Your violation of these Terms.
  • Your misuse of our Services.
  • Your participation in any of our programs.

7. Changes to Terms and Programs

NAECE reserves the right to modify these Terms and Conditions, or the terms and structure of any programs, at any time without prior notice. Changes will be effective immediately upon posting to our website.

NAECE also reserves the sole discretion to modify or terminate any program, including its terms, conditions, and payouts, without any obligation to provide compensation or alternative arrangements. You acknowledge that NAECE is not liable for any consequences resulting from such changes.

8. Intellectual Property

All content, materials, and resources provided by NAECE are the intellectual property of NAECE unless otherwise stated. Unauthorized use, reproduction, or distribution of our intellectual property is prohibited.

9. Tax Implications

Donations made to NAECE in Canada are eligible for tax deductions under Canadian law.

Donations made in the U.S. may not be tax-deductible until NAECE is formally recognized as a U.S. tax-exempt organization.

10. Governing Law

Until U.S. charity status is obtained, these Terms shall be governed by and construed in accordance with Canadian laws.

Upon recognition as a U.S. charity, these Terms will be governed by the laws of the United States and the state of Virginia.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
